Terms of Service

These Terms of Service (“Terms”) govern access to and use of the Wisdok website (wisdok.com), the Wisdok application (app.wisdok.com) and related services (together, the “Service”).

By accessing or using the Service, you agree to these Terms. If you use the Service on behalf of an organization, you confirm that you are authorized to accept these Terms on its behalf, and “you” includes that organization.

1. About Wisdok

Wisdok is an AI-assisted commercial document intelligence service that helps organizations analyze and understand business documents. Depending on the service configuration, this may include:

  • contracts and vendor agreements;
  • tenders, RFPs and specifications;
  • proposals and quotations;
  • statements of work and service level agreements;
  • purchase orders and invoices;
  • policies and other business documents.

Wisdok may generate structured findings, summaries, evidence-linked observations, comparisons, reports and other outputs. Features and functionality may change as the Service develops.

2. Business Use Only

Wisdok is intended for business and professional use only and is not offered to consumers. You must be at least 18 years old and have the legal capacity to enter into these Terms.

3. Agreement Structure and Order of Precedence

These Terms govern general access to and use of Wisdok unless you or your organization enter into a separate written agreement, order form, statement of work or other contractual arrangement governing the Service.

Where a separate written agreement exists, it will take precedence over these Terms to the extent of any conflict. Any applicable Data Processing Addendum (“DPA”) will govern the processing of personal data and take precedence over conflicting provisions concerning such processing.

4. Accounts and Authorized Users

Certain features require an account. You are responsible for:

  • providing accurate account information;
  • keeping login credentials confidential;
  • ensuring that only authorized users access your account;
  • all activity carried out under your account; and
  • notifying us promptly of any suspected unauthorized access.

Where an organization account is used, its administrators can manage users, roles, permissions and access to the organization’s information. The organization is responsible for ensuring that its users are authorized and comply with these Terms.

5. Acceptable Use

You agree not to:

  • Use the Service for any unlawful, fraudulent, deceptive, abusive or unauthorized purpose.
  • Upload, submit or process content that you do not have the right or lawful basis to use.
  • Attempt to gain unauthorized access to the Service, its systems, infrastructure or other users’ accounts or data.
  • Interfere with, disrupt or compromise the security, integrity or operation of the Service.
  • Introduce viruses, malware or other harmful code into the Service.
  • Circumvent usage limits, access controls, security measures or other technical restrictions.
  • Scrape, crawl, extract or systematically collect data from the Service without prior written authorization.
  • Resell, sublicense, distribute or make the Service available to third parties except as expressly permitted under an applicable written agreement.
  • Infringe the intellectual-property, privacy or other rights of any third party.
  • Reverse engineer, decompile or disassemble the Service, except where expressly permitted by applicable law.

6. Customer Content

“Customer Content” means documents, files, text, data and other information submitted to Wisdok by or on behalf of a customer or its authorized users, including information retrieved from knowledge sources that the customer has authorized.

You retain all rights in your Customer Content. You grant Wisdok a limited, non-exclusive license to host, process and analyze Customer Content solely to provide the Service to you, including generating analysis and reports, maintaining security, providing support and complying with law.

You are responsible for ensuring that you have the rights, permissions and lawful basis to submit Customer Content and to have it processed through the Service, including any rights required for personal data it contains.

Customer Content is not sold to third parties. Wisdok does not use Customer Content to train or fine-tune general-purpose AI models. Further details are set out in our Privacy Policy.

7. Restricted Content

You must not upload or submit personal data, confidential information or other regulated information unless you have the necessary rights, permissions and lawful basis to do so.

You must not submit sensitive personal data, special-category personal data or other specially regulated information unless its processing is permitted by applicable law and expressly supported by the relevant Wisdok service configuration and any applicable written agreement.

You are responsible for determining whether the content you submit is appropriate for processing through the Service and for ensuring that any required notices, consents or other legal requirements have been satisfied.

8. AI-Assisted Analysis and Outputs

Wisdok uses artificial intelligence and related technologies to analyze documents. Depending on the functionality used, processing may involve multiple analysis stages and third-party AI or model services.

AI-generated outputs may contain errors, omissions or inaccurate interpretations, and results may vary between analyses of the same document. The absence of a finding does not mean that an issue does not exist, and the presence of a finding does not necessarily mean that an issue is material or legally significant.

Wisdok is a decision-support tool. It does not provide legal, financial, accounting, tax or other professional advice and does not replace review by qualified professionals. You are responsible for having outputs reviewed by appropriately authorized people before relying on them for material business decisions, and for evaluating them in light of your own circumstances, including the governing law of the documents you analyze.

9. Ownership of Outputs

As between you and Wisdok, you own the outputs generated from your Customer Content (“Outputs”) and may use them for your internal business purposes. Wisdok retains all rights in the Service, including its software, templates, methodologies, review frameworks and underlying technology, and nothing in these Terms transfers those rights to you.

Because AI-generated outputs may be similar across users, we do not guarantee that Outputs will be unique.

10. Reference Documents and Knowledge Sources

Where supported, you may provide a reference document, such as a customer RFP, tender, specification or approved commercial standard, against which another document is compared. Certain enterprise configurations may also connect to knowledge sources you authorize, such as Google Drive.

You are responsible for having the authority to provide reference documents and to authorize any connection. Availability of these features depends on your plan, configuration and agreement. You can revoke a connection at any time through the relevant service or by contacting us.

11. Enterprise and Customer-Controlled Deployments

Wisdok is primarily provided as a hosted service. Where specifically agreed, it may be provided as an enterprise deployment within a customer-controlled environment. The architecture, hosting responsibilities, data locations, integrations, security responsibilities, license terms and support arrangements for such a deployment will be set out in the applicable agreement or statement of work.

Features described on our website may not be available in every plan or deployment.

12. Third-Party Services

Wisdok relies on third-party providers for infrastructure, hosting, authentication, storage, AI processing, communications, security and monitoring. Customers may also connect third-party services they control. Third-party services are subject to their own terms and policies, and Wisdok is not responsible for services outside its reasonable control.

13. Intellectual Property

The Service, including its software, interfaces, designs, architecture, documentation, trademarks, logos, methodologies and underlying technology, is owned by Wisdok or its licensors and protected by intellectual-property laws. Except for the rights expressly granted in these Terms or an applicable agreement, no ownership rights are transferred to you.

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Service for your internal business purposes during your access period.

14. Feedback and Service Data

If you provide suggestions, ideas or other feedback about Wisdok, we may use that feedback to improve or develop the Service, without restriction or compensation, provided that it does not include Customer Content or confidential information unless you expressly authorize its use for that purpose.

Wisdok may collect and use technical, diagnostic, performance and usage data relating to the operation and use of the Service to maintain, secure, support and improve its functionality.

Such data will not include identifiable Customer Content or document contents used for unrelated purposes. Customer Content will not be sold or used to train general-purpose AI models.

15. Fees, Credits and Payment

Pricing, credit allowances, validity periods, included functionality and payment terms are set out in the applicable order, invoice or customer agreement. Unless otherwise agreed:

  • one credit covers one standard document analysis; larger documents, documents analyzed with references, and complex multi-document packs may consume more credits, as described on our Pricing page or in your order;
  • credits are consumed when an analysis is started, are associated with the purchasing account, and may not be transferred or resold;
  • where an analysis fails because of a technical fault on our side, we may re-run it or restore the credits used;
  • additional usage requires additional credits or charges;
  • invoices are payable by bank transfer within 05 days of the invoice date;
  • fees are stated exclusive of applicable taxes, which you are responsible for; and
  • fees are non-refundable except where required by law or expressly agreed.

If payment is overdue, we may, after reasonable notice, suspend access until the amount is paid.

16. Trials and Evaluations

Wisdok may be made available for trial, demonstration or evaluation. Trial access may be limited by duration, documents, credits, features or users, may be modified or withdrawn at any time, and is provided “as is” without warranties or service commitments. These Terms, including those on Customer Content and confidentiality, apply to trials.

17. Confidentiality

Information submitted to Wisdok may be confidential. Wisdok will treat Customer Content as confidential, protect it with reasonable safeguards, and use and disclose it only as needed to provide the Service, to our personnel and subprocessors who need access and are bound by appropriate confidentiality obligations, or as permitted by the applicable agreement. You will likewise keep confidential any non-public information about the Service that we disclose to you.

Confidentiality obligations do not apply to information that:

  • is or becomes publicly available without breach;
  • was lawfully known to the recipient before disclosure;
  • is independently developed without use of the confidential information; or
  • is lawfully received from a third party without restriction.

Information may be disclosed where required by law or by a competent authority. Where legally permitted, we will notify you before doing so.

18. Privacy, Cookies and Data Processing

Our handling of personal information is described in the Wisdok Privacy Policy. Our use of cookies and similar technologies is described in the Wisdok Cookie Policy. Where a customer requires a contractual data-processing arrangement, the applicable Data Processing Addendum will govern the relevant processing.

19. Security

Wisdok uses reasonable technical and organizational measures designed to protect the Service and the information processed through it. No internet-based service can guarantee absolute security. If we become aware of a security incident affecting your Customer Content, we will notify you without undue delay in accordance with applicable law and any agreement between us. You are responsible for the security of your own accounts, credentials, devices and connected systems.

20. Availability and Service Changes

We will use reasonable efforts to keep the Service available and reliable, but availability may be affected by maintenance, infrastructure failures, security incidents, third-party services, network failures or circumstances outside our reasonable control. We may update, modify or discontinue features, and will give reasonable notice of material changes that adversely affect paying customers. Any service levels agreed with a customer in writing take precedence over this section.

21. Suspension

We may suspend or restrict access where reasonably necessary to:

  • protect the security or integrity of the Service;
  • prevent unauthorized access;
  • investigate suspected misuse;
  • address a material breach of these Terms;
  • comply with applicable law; or
  • protect Wisdok, its users or third parties from material harm.

Where reasonably practicable, we will give notice before suspending and will restore access once the issue is resolved.

22. Suspension, Termination and Customer Content

You may stop using Wisdok at any time.

Access may be terminated where you materially breach these Terms or where continued provision of the Service would create a legal, security or operational issue. For customers operating under a separate written agreement, termination will be governed primarily by that agreement.

Following termination or expiry, Customer Content will be made available for export where supported by the Service and the applicable agreement. Customer Content will be retained, returned or deleted in accordance with the applicable agreement, the DPA, the Wisdok Privacy Policy and any legal obligations that apply.

Where no separate written agreement applies, Wisdok will handle Customer Content deletion in accordance with its applicable retention and deletion practices, subject to any legal or security requirements to retain certain information.

23. Disclaimers

To the maximum extent permitted by applicable law, the Service and its outputs are provided “as is” and “as available”. We do not warrant that:

  • the Service will be uninterrupted or error-free;
  • every issue, risk or obligation in a document will be identified;
  • outputs will be accurate, complete or consistent between analyses;
  • every interpretation will be correct; or
  • the Service will be suitable for a particular purpose or outcome.

Wisdok does not provide legal, financial, accounting, tax or other professional advice.

24. Limitation of Liability

To the maximum extent permitted by applicable law, Wisdok will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, revenue, business opportunities, goodwill, anticipated savings or data, arising out of or in connection with the use of, or inability to use, the Service.

To the maximum extent permitted by applicable law, Wisdok’s total aggregate liability arising out of or in connection with these Terms or the Service will not exceed the fees paid or payable by you for the Service during the twelve (12) months immediately preceding the event giving rise to the claim. Where no fees have been paid or are payable, the liability cap will be the amount specified in any applicable written agreement or, in the absence of such an agreement, the maximum amount permitted by applicable law.

Nothing in these Terms excludes or limits liability for fraud, fraudulent misrepresentation, wilful misconduct or any liability that cannot lawfully be excluded or limited. Where a separate written agreement contains different liability provisions, those provisions will apply to the extent of any conflict.

25. Indemnification

You agree to indemnify and hold harmless Wisdok from third-party claims, losses, liabilities, damages and reasonable costs arising directly from:

  • Your unlawful or unauthorized submission of Customer Content to the Service.
  • Your infringement of a third party’s intellectual-property, privacy or other rights through your use of Wisdok.
  • Your material misuse of the Service in violation of these Terms.

This indemnity will apply only to the extent that the claim results from your acts or omissions. Wisdok will provide reasonable notice of any such claim and reasonable cooperation, at your expense, in its defense. You may not settle a claim in a way that imposes an admission, obligation or liability on Wisdok without Wisdok’s prior written consent.

Where a separate written agreement contains indemnification provisions, those provisions will apply to the extent of any conflict.

26. Compliance with Laws

Each party will comply with the laws that apply to it in connection with the Service, including applicable data-protection, anti-bribery, sanctions and export-control laws. You must not use the Service in, or make it available to, any person or country subject to applicable sanctions or export restrictions.

27. Changes to These Terms

We may update these Terms from time to time to reflect changes to the Service, applicable law or our practices. The “Last updated” date shows when they were most recently revised. Where changes are material, we will give notice through the Service, on the website or by email to account administrators. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

28. Governing Law and Disputes

Where you or your organization enter into a separate written agreement, order form or other contractual arrangement with Wisdok, the governing law and dispute-resolution provisions of that agreement will apply.

Where no separate written agreement specifies the governing law or dispute-resolution process, any dispute arising out of or in connection with these Terms or the use of Wisdok will be subject to the applicable laws and the jurisdiction of the competent courts, as determined by the relevant rules of law.

29. General

  • If any provision is found invalid or unenforceable, the remaining provisions remain in effect.
  • A failure to enforce a provision is not a waiver of it.
  • These Terms, together with any order and applicable agreement, are the entire agreement between us regarding the Service and supersede prior discussions about it.
  • Neither party may assign these Terms without the other's consent, except to an affiliate or a successor to all or substantially all of its business.
  • Neither party is liable for delay or failure caused by events beyond its reasonable control.
  • These Terms do not create a partnership, agency, employment relationship or joint venture.
  • We may give notices to you by email to your account or contact address, and you may give notices to legal@wisdok.com.
